Terms of Use

Effective Date: July 1, 2026

These Terms of Use govern the FabQED^TM platform and website (the "Services") provided by SemiAIFoundry ("SemiAIFoundry," "we," "us," or "our"). Where your organization has a separate written agreement with SemiAIFoundry (such as a master services agreement, pilot agreement, or data processing agreement), that agreement controls over these Terms to the extent of any conflict.

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Changes to the Services or Terms

We may modify the Services or these Terms at any time. Updated Terms will be posted with a new Effective Date; your continued use of the Services after posting constitutes acceptance of the updated Terms.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services.

4. Accounts; Security

Some features of the Services require an account. You are responsible for providing accurate information, maintaining the confidentiality of your credentials, and all activity under your account. Access to theFabQED^TM platform is restricted to authorized, named accounts provisioned for your organization; you must not share credentials, circumvent access controls, or permit unauthorized persons to use your account. Notify us promptly of any suspected unauthorized access. We may suspend or terminate access if we believe an account has been compromised or used in violation of these Terms.

5. Service Scope; No Submission of Confidential Information via the Public Website

The public FabQED^TM website operates on a public-only default. Do not submit through the public website: trade secrets, proprietary process recipes, or confidential technical documents; export-controlled information; personal health information; or other sensitive personal data — unless we explicitly agree in writing. If you submit prohibited content via the public website you are responsible for it, and we may delete it without notice.

The FabQED^TM platform, by contrast, is designed to process customer operational data (such as complaint, investigation, and execution records) under contract. Submission, handling, retention, and protection of pilot and production data within the platform are governed by the applicable customer agreement (including any master services agreement and data processing agreement), not by this public-website default.

6. Customer-Boundary Deployments; Governed AI Features

FabQED^TM may be deployed in different environments, including customer-controlled cloud, network, or operated environments, as specified in the applicable customer agreement. Where the Services are deployed in a customer-controlled environment, responsibility for infrastructure configuration, access controls, AI configuration, retention settings, backups, and operational administration is allocated as stated in that agreement.

Certain Services may include AI-assisted or model-assisted features. Unless expressly agreed otherwise, those features are designed to provide proposals, drafts, classifications, summaries, or recommendations for human review. They do not independently sign, send, approve, release, close, or otherwise make final operational decisions. You are responsible for reviewing outputs, confirming their suitability, and making any decisions or submissions based on the Services.

7. Benchmark and Publication Content

Any benchmark results, publications, or example content made available through the Services are provided for informational purposes only. Results vary by environment and configuration; we make no guarantee that comparable results will be achieved.

8. License and Restrictions

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your internal business purposes. Except as expressly permitted, you may not: copy, reproduce, distribute, or create derivative works from the Services or their content; resell, rent, or sublicense the Services; scrape, crawl, or use automated means to extract data; reverse engineer any part of the Services; or remove proprietary notices. Limited excerpts of public content may be shared with attribution to SemiAIFoundry.

9. Intellectual Property

We and our licensors own all right, title, and interest in and to the Services, including all intellectual property rights. These Terms grant no ownership rights to you.

10. Trademarks

FabQED^TM is a trademark of SemiAIFoundry. FabQED^TM, SemiAIFoundry, and related marks may not be used without our prior written permission, except for nominative fair use.

11. Feedback

If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation. Submissions must not violate law or third-party rights.

12. Acceptable Use

You agree not to use the Services to violate laws, infringe rights, gain unauthorized access, interfere with the Services, introduce malware, or engage in harmful, unlawful, or abusive conduct. We may investigate suspected violations and take appropriate action, including suspension or termination.

13. Third-Party Links

The Services may link to third-party sites or resources. We are not responsible for their content, policies, or practices.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. The Services do not constitute professional advice (including engineering, manufacturing, safety, legal, compliance, or investment advice); you are solely responsible for decisions made using the Services.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR USD $100.

16. Indemnification

You agree to indemnify and hold harmless SemiAIFoundry and its officers, directors, employees, and agents from claims arising out of your use of the Services or violation of these Terms.

17. Suspension and Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or to protect the Services. Provisions that by their nature should survive termination (including Sections 8–11 and 14–19) survive.

18. Dispute Resolution; Arbitration; Class Action Waiver

Before filing a claim, you agree to attempt informal resolution for 30 days after notifying us. Except for small-claims matters and claims for injunctive relief relating to intellectual property, disputes will be resolved by binding arbitration on an individual basis. YOU AND SEMIAIFOUNDRY WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. If any portion of this section is found unenforceable, the remainder remains in effect.

19. Governing Law

These Terms are governed by the laws of the applicable jurisdiction identified in your agreement with us, without regard to conflict-of-law rules. The Federal Arbitration Act governs the arbitration provisions.

20. Miscellaneous

These Terms, together with the Privacy Policy and any applicable customer agreement, are the entire agreement between you and us regarding the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver.
